Article I:  Name
 
Section 1:   The name of the organization shall be "Midwest Boer Goat Breeders Club".  This organization is a non-profit organization.  The acronym is MBGBC.
 
Article II:   Objective
 
Section 1:   To encourage the further improvement and wider distribution of the Boer goat bred through research, promotions, shows and educational seminars.  To foster social interaction among breeders and breed associations. To educate the general public and new breeders about the value and use of Boer goats as a viable part of agriculture.  To encourage FFA, 4H and youth projects involving Boer goats.
 
Article III:  Membership
 
Section 1:  Membership it open to any Boer goat breeder who is willing to support and abide by the bylaws, rules and regulations, the Code of Ethics and to advance the purpose of MBGBC.
 
Section 2:  Membership Categories:  MBGBC shall have three different types of memberships.  The definition, qualifications and rights of the members of each category shall be as follows.
 
   A.  Individual member - shall pay full dues and have full membership rights.
   B.  Family/Farm member - shall pay full dues and have full membership rights.
   C.  Associate members  - shall include educators, veterinarians etc. with no right to 
        vote.  Membership is extended as courtesy to them to facilitate communication.
 
Section 3:  Voting Rights:  Each of the above memberships which is current and in good standing except associate membership shall be entitled to one vote on each matter submitted to a vote of the members.  To be eligible to vote or stand for election to the Executive committee a current membership in good standing prior to the beginning of business taking place at such meeting where voting and or elections are to place.  The Family/Farm membership has one vote.  Each membership which is eligible to vote must be present to cast their vote.  There is no absentee or proxy voting.
 
Section 4:  Dues:  Annual membership rates and payment schedule shall be established by the Executive Committee.  Membership is from January 1st threw December 31 of a calendar year.  Membership dues are to paid annually and in a timely manner.  Memberships not renewed by April 1st will be considered terminated and all membership rights forfeited until such membership returns to good standing.
 
Section 5:  Termination of Membership:  The Executive committee may, by an affirmative vote of two-thirds of the members of the committee, suspend or expel a member(ship) for cause after an appropriate hearing or meeting; or may terminate the membership of any member who becomes ineligible for membership or may default in payment of dues or fees owned to MBGBC.
 
Section 6:  Reinstatement:  Upon written request by a former member(ship) and filed with the Secretary, the Executive committee, may by the affirmative vote of two-thirds of the members of the Executive committee, reinstate such member(ship) upon terms the board may deem appropriate.
 
Section 7:  Transfer of Membership:  Membership is not transferable.
 
Section 8: Certificates of Membership:  The Executive committee may provide for the issuance of certificates evidencing membership in the MBGBC, which shall be in such forms may be determined by the EC.  Such certifications shall be signed by the President and Secretary and shall be sealed with the seal of club.  When membership dues, as set out in the operating rules, have been paid, a certificate of membership shall then be issued to membership.
 
Section 9:  There shall be no discrimination as to membership due to gender, sex orientation, culture, religion or place of origin or physical and or mental limitations.   
 
 
Article IV:  Meeting of Members    
 
Section 1:  Annual Meeting:  An annual meeting of MBGBC shall be held in the Month of April each year, for the purpose of election of Executive committee members, for other matters needing the vote of the membership and such other business as may come before the meeting.  The date, time and location will be announced.
 
Section 2:  Special Meeting:  Special meetings of the members maybe called by the President, Executive committee members or not less than two-thirds of the member(ship) with voting rights.
 
Section 3:  General Meeting:  There will be regular general membership meeting via phone conference or in person to be held every other month until monthly meeting are necessary at the Executive committee discretion.
 
Section 4:  Notice of Meeting:  Notices of all types of meetings can be given via email, land line or cellular phone, website or by written notice.  All notices shall state place, day and hour and purpose of meeting.  Notices are to be given to all member(ship) entitled to vote at such meetings, not less than fourteen days before such meeting by the secretary of MBGBC.
 
Section 5: Place of Meeting:  The Executive committee may designate any place, either within or without the state of Illinois, as to the place for any annual, special or general meeting called by the Executive committee or two-thirds of the member(ship) having voting rights. 
 
Section 6:  Rights of membership:  Except as expressly delegated to the board, all rights of the Membership as to voting for the election of officers, disposition of all or substantially all assets of MBGBC, or dissolution are vested in the voting members.
 
Section 7: Quorum:  The member(ship) present and in good standing who are eligible to vote shall constitute a quorum at such meetings.
 
 
Article V:  Procedures of Meetings
 
Section 1:  the order of business may be altered by discretion of the Executive committee.

Article VI:  Officers - Executive Committee
 
Section 1:  General Powers: The affairs of the Midwest Boer Goat Breeder Club shall be managed by its Executive Committee also referred to as elected officers.  Committee members need to be a member in good standing with MBGBC.  The Executive Committee shall exercise ordinary business judgment in managing the affairs of MBGBC and shall act as fiduciaries with respect the interests of the members.  All actions of the EC must consistent with the objectives of MBGBC.
 
Section 2:  Number, Qualifications and Tenure:  The Executive Committee shall consist of President, Vice-President, Secretary, Treasurer and three committee members at large for a maximum of seven.  These position are initially appointed by founding members and later elected by the membership.  At the first Executive committee general meeting following the election, the officers shall be selected from among the Executive Committee. For the first term four committee members will be seated for two year term and three for one year.  Two year terms will be picked among Executive committee members.  Then the following year three positions will be up for election.  Terms are two years and committee members may serve consecutive terms.  The immediate past President of the MBGBC shall be a nonvoting advisory member of the Executive committee.  Any two or more officers may be held by the same person except the offices of President and Secretary.  Any member of legal age and who meets the requirements set forth in the bylaws and is capable of duties of may run for an Executive committee position. 
 
Section 3: General Meetings:  A general meeting of the Executive Committee (EC) shall be held whenever, wherever and by whatever means IE in person, land line or cellular phone at the discretion of the President or EC. 
 
Section 4:  Special Meetings:  Special meetings of the Executive Committee (EC) may be call by or at the request of the President or any two EC members.  The person(s) authorized to call a special meeting of the EC may fix the place. 
 
Section 5: Quorum:  A majority of the EC shall constitute a quorum for the transaction of business at any meeting of the EC.  If less than a majority of EC is present at said meeting no business can be transacted and meeting is adjourned till majority is present.
 
Section 6:  Vacancies:  Any vacancy occurring in the EC due to death resignation, removal, disqualification or otherwise maybe filled by the affirmative vote of the majority of of the remaining EC members till the next election. 
 
Section 7:  Removal:  Any officer elected or appointed by the EC maybe removed by the EC with a majority vote whenever in its judgment the best interest of MBGBC would be served.  Including but not limited to reasons for removal would be violation of the bylaws or code of ethics, unable or unwilling to attend or participate on EC.  No longer a member in good standing.  Such removal shall be with prejudice.
 
 
Article VII Duties
 
Section 1:  President:  The President shall generally manage the day to day business o of the organization within the guidelines of the bylaws.  The President shall preside at all meetings of MBGBC and at regular and special meetings of the EC.  The President shall recommend appointments, committee chairpersons and members, subject to the approval of the EC.  The President serves as an ex-officio member of all committees, except for nominations and is signor on all bank accounts.  Any purchases or contracts over $250.00 must be approved by the EC.  
 
Section 2:  Vice President:  In the absences of the President or in the event of his inability or refusal to act, the Vice President shall perform the duties of the President and when so action , shall have all the powers of and subject to all the restrictions up the President.  any Vice President shall perform other duties as from time to time maybe assigned to him by the President or EC. 
 
Section 3:  Secretary:  The Secretary shall receive and process all applications of membership.  Shall notify by invoice all members of annual dues or fees owed to MBGBC.  
Shall keep and record all the minutes and attendance from all meetings.  Shall respond to all correspondence directed to the office of Secretary.  Shall consult the EC on any matters of policy the deems advisable.  Shall make all purchases and business transactions authorized by the EC.  Give a report at each EC meeting minutes of last meeting.
 
Section 4:  Treasurer:  Shall establish and maintain a bank account in an insured bank in the name of Midwest Boer Goat Breeders Club.  Shall deposit membership fees and money owed to MBGBC when given by Secretary.  Shall pay expenses of the club and keep account thereof.  Give a report at each EC meeting of the assets on hand, expenses incurred from the last meeting.
